Agreement on the use of TiVi Phone services

Before starting to use TiVi Phone services you must fully read the agreement and, by selecting the "I agree" checkbox, confirm that you agree with the terms of the agreement.
Within this agreement:
"you" and "your(s)" denote you, i.e, the natural or legal person who is the user of TiVi Phone services.
"we", "us" and "our(s)" denote the provider of TiVi Phone services - limited liability company Tilts Visiem, incorporated by the Latvian Enterprise Register under # LV40003627572 and having its legal address in Riga, Stabu 54-6, LV-1011.
"parties" denote you and/or us.
"TiVi Phone basic services" denote the publicly available services provided by Tilts Visiem, Ltd., which enable you, through the use of TiVi Phone software, to make phonecalls from your computer both to regular phones in Latvia and other countries and to other computers that have TiVi Phone software or another compatible software installed. It is not possible to call to premium-rate service numbers in Latvia or abroad with the "TiVi Phone basic services".
"TiVi Phone additional services" denote the provision by Tilts Visiem of a public fixed-line telephone subscriber number for use together with your existing user account. This service enables other people to call you at your TiVi account by simply using the aforementioned public fixed-line telephone number and by paying for the call at the rate effective within the network where the call originates.
"account" denotes your electronically established account within our system, which contains the information you supplied at registering, history of the phonecalls made and the balance of funds that you can use for paying for the phone services.
"TiVi website" denotes our site on the worldwide web, www.tivi.com, as well as other websites of Tilts Visiem, Ltd.

I - TiVi Phone basic services

1. The terms of this agreement determine how you can use TiVi Phone basic services provided by us and paid by you at the telephone rates published on our tariff pages. You shall prepay for all of the phonecalls you make, and that is the only type of fee that we shall charge.
2. The following steps are necessary in order for you to start using TiVi Phone basic services:
2.1. Register by filling in:
- your e-mail address, which must be functional in order to allow you to receive our news and messages;
- your login name (username) which you shall use to access your account and which we will use to authenticate you;
- your password which you will use for logging in to TiVi Phone services.

2.2. You must download TiVi Phone software from TiVi website which provides instructions on how to do it. The phone software can be used free of charge and for unlimited time, however you are required to abstain from compromising, corrupting, reengineering and later reselling it as one of your own manufacture. TiVi Phone software is fully and exclusively our property.

2.3. You shall prepay for your phonecalls.

3. You will be able to prepay by installments ranging between Ls 1.00 and Ls 500.00 (Latvian lats). For topping up your account with prepayment you can use HanzaNet online banking form placed conveniently right here on TiVi website for regular customers of AS Hansabanka. The above method of payment allows your account to be topped up within a few minutes. If you are not a regular customer of AS Hansabanka then you can pay by bank/wire transfer of funds toward our bank account, however this will require some time for your money to travel through the banking system and arrive in our account.

You may also choose to pay by credit/debit card via TiVi website. There are no limitations to the transferable amount when paying with a credit card. We accept EC/MC, VISA, VISA Electron and Maestro payment cards.

4. For all phonecalls made while logged in to your account we will decrease your account balance in accordance with the tariff published on TiVi website. Telephone rates are given in lats per minute, VAT included. You are charged only for those of your phonecalls in which the connection is completed, and the connected calls are billed as at least 15-seconds long.

5. All of the phonecalls you make shall be journalled under your account, and your phonecall history as well as the account balance is accessible to you electronically, via TiVi website. In order to access your account information you must log in with your login name and password to TiVi website. The phonecall history that you can access covers the period of 6 months to date.

6. For the phonecalls that you make by using TiVi Phone software in order to reach other users of TiVi Phone and by omitting any use of regular telephone network, the only carrier is the internet; the calls of this type are not journalled by our system, and they remain free of charge.

7. We guarantee the confidentiality of the information contained in your account, the phonecall history included, as well as of your password, and we shall not disclose them to any third party, except when under special circumstances described in applicable law, the governmental law enforcement authorities might require such information from us.

8. You have a responsibility to prevent situations which could lead to unauthorised access to your account by third parties; therefore, while registering, you must choose a password that is not easily guessed and misappropriated and, while logging in to your account from a public access point, make sure to not allow any third parties to discover your password.

9. We have made TiVi Phone software in such a manner that it is safe while used correctly and that you can make each and every of your phonecalls very efficiently. We shall deliver to you telephone service whose quality is up to standard. You acknowledge having understood that the quality of service of your phonecalls depends on the actual connection of your computer to the internet and that we are not to be held responsible for the speeds of data transfer and levels of service quality in your computer's connection to the internet. The TiVi Phone software is provided to you on "as is" terms, and we are not to be held liable for any effect its usage may have on the system performance, etc.; furthermore, we are not to be held liable for any loss or damage that might occur to your computer or other equipment as a result of incorrect or abusive usage of TiVi Phone software.

II - TiVi Phone additional services

10. If you already use TiVi Phone basic services you are invited to subscribe to TiVi Phone additional services, but this is not a requirement.

11. The start-up fee for using the additional services (which includes issuance of your phone number) you shall pay Ls 2.49 if the number is picked by an algorithm of our database, or, Ls 4.99 if you pick a number from the numbering range available with us. The number issuance fee shall include your subscription fee for the current month, that is, only for the remaining days of the month: we shall calculate the subscription fee in proportion to the number of days left in the month counting from the actual day of your application (we consider that each month may have up to 30 billable days). For each subsequent calendar month, you shall pay the monthly subscription fee of Ls 0.49.

12. The subscription fee will be deducted from your account balance on the first day of every calendar month. If your account balance stays below Ls 0.00 for more than 2 months then the usage of the additional services will become permanently unavailable to you and you may also lose the right to keep the phone number. If this happens, you will be able to re-establish your subscription of the additional service and will be issued a different phone number.

13. If you wish to discontinue using TiVi Phone additional services then you shall submit a request by e-mail and, as a confirmation, reply to our verification e-mail message. After that, we shall disable the phone number you have registered, while TiVi Phone basic services will still be available to you.

III - General conditions of the agreement

14. All fees mentioned in the present agreement are VAT inclusive.

15. If you choose to discontinue using TiVi Phone basic or additional services, you can have us suspend your account when its balance is Ls 0.00. We will be able to proceed with suspending your account after you request it and also respond to our verification e-mail message by sending your confirmation e-mail message.

16. We advise you to use up all of your account balance for making phonecalls because after choosing to suspend your usage of TiVi Phone services, you will not be able to get any refund.

17. If due to some unlikely circumstances we cease providing TiVi Phone services to you, we will let you know about it one month in advance via TiVi website. In such a situation you will get a refund of the balance left in your account.

18. Your account will be suspended automatically if its balance has been Ls 0.00, or less, for more than 6 months and no payments have been made to top up on it. Whenever a TiVi account remains unused for 24 months, it will be erased.

19. If your account has been suspended but you wish to use TiVi Phone services again, you can re-register with us.

20. The agreement between the parties remains effective while you keep using the account that you registered with us while also topping it up with payments for making phonecalls.

21. We reserve the right to adjust our tariff (rate sheet) for telephone calls and other services at our sole discretion. These adjustments will be announced to you one month in advance via TiVi website and in a message sent to your e-mail address. The day for a new tariff becoming effective will be the first day of the calendar month.

22. We reserve the right to modify, when necessary, some of the terms and conditions of this agreement. Such modifications will become effective at the moment when you top up on your account with a prepayment for telephone services; during the payment procedure, the new terms of agreement will be shown to you and sent to your e-mail address.

23. You are responsible for ensuring that your e-mail address is functional so that we can send you our announcements of changes in the tariff or the new terms of agreement, when necessary.

24. The parties agree that the present agreement regarding the use of TiVi Phone services is entered into and becomes effective at the moment when you submit your data via the "Ok" button after having ticked the "I agree" checkbox.

25. The parties agree that the present agreement is entered into by electronic means and that all communication between the parties shall take place electronically. The both parties concur that communicating electronically is tantamount to exchange of paper-based signed documents and that both parties will recognise all of the materials sent electronically as a valid form of evidence in the case of some dispute arising between the parties in relation to the present agreement. The parties agree that their actions within the scope of this agreement will be governed by the law that is effective in the Republic of Latvia. Should any dispute arise between the parties, they will first attempt to resolve it in a peaceful and friendly discussion, but if after three weeks the dispute remains unresolved then the parties may start legal proceedings at a Latvian court of law in a manner governed by applicable regulations.
